These Terms & Conditions apply to the services of: Deze Algemene Voorwaarden zijn van toepassing op de diensten van:

hereinafter “Elyvolt”.hierna “Elyvolt”.
1. Acceptance1. Aanvaarding
The agreement is formed as soon as the customer agrees, in writing or by email, to the connection of their charge point(s) to the Elyvolt platform, and/or as soon as Elyvolt activates the charge point(s) with the customer's consent. De overeenkomst komt tot stand zodra de klant schriftelijk of per e-mail akkoord gaat met de aansluiting van zijn laadpaal(en) op het Elyvolt-platform en/of zodra Elyvolt met akkoord van de klant de laadpaal(en) activeert.
By agreeing, the customer declares that they have received, read and accepted these Terms & Conditions. Door akkoord te gaan, verklaart de klant deze Algemene Voorwaarden te hebben ontvangen, gelezen en aanvaard.

2. Services2. Diensten
Elyvolt is responsible for the software-based management of the connected charge point(s) and may make them publicly available. Elyvolt staat in voor het softwarematige beheer van de aangesloten laadpaal(en) en kan deze publiek beschikbaar maken.
The services include, among other things, the management of charging sessions, roaming, reporting, payment processing and payout via the Wallet. De dienstverlening omvat onder meer het beheer van laadsessies, roaming, rapportering, betalingsverwerking en uitbetaling via de Wallet.
For this purpose, Elyvolt uses third-party software and services, including Monta. Elyvolt maakt hiervoor gebruik van software en diensten van derden, waaronder Monta.
3. Tariff3. Tarief
The customer determines the desired charging tariff themselves, within the technical and legal possibilities of the platform, and is responsible for its accuracy. De klant bepaalt zelf het gewenste laadtarief, binnen de technische en wettelijke mogelijkheden van het platform, en is verantwoordelijk voor de juistheid hiervan.
Any fees and transaction costs charged by Elyvolt are communicated via the applicable price list or commercial arrangements. Eventuele vergoedingen en transactiekosten van Elyvolt worden meegedeeld via de toepasselijke prijslijst of commerciële afspraken.
Elyvolt may amend its rates subject to prior notice. Elyvolt kan haar tarieven wijzigen mits voorafgaande kennisgeving.
4. Wallet and Payouts4. Wallet en uitbetalingen
The revenue from public charging sessions is processed via the Elyvolt Wallet. De opbrengsten van publieke laadsessies worden verwerkt via de Elyvolt Wallet.
The technical processing of charging sessions, payments and payouts takes place wholly or partly via Monta and/or its payment partners. De technische verwerking van laadsessies, betalingen en uitbetalingen gebeurt geheel of gedeeltelijk via Monta en/of haar betalingspartners.
Elyvolt is not liable for delays or malfunctions caused solely by Monta, payment providers, banks or other external parties. Elyvolt is niet aansprakelijk voor vertragingen of storingen die uitsluitend veroorzaakt worden door Monta, betalingsproviders, banken of andere externe partijen.
5. Charge Point5. Laadpaal
The charge point remains the property and responsibility of the customer. De laadpaal blijft eigendom en verantwoordelijkheid van de klant.
The customer is responsible for the proper and safe operation of the charge point, the electricity supply, the internet connection, maintenance, repairs, firmware, inspections and the accuracy of the data provided. De klant staat in voor de goede en veilige werking van de laadpaal, elektriciteitsvoorziening, internetverbinding, onderhoud, herstellingen, firmware, keuringen en de juistheid van de verstrekte gegevens.
The customer also ensures that the charge point is accessible during the stated opening hours. De klant zorgt eveneens voor de bereikbaarheid van de laadpaal tijdens de opgegeven openingsuren.
Elyvolt is not responsible for defects, power outages, connectivity problems, firmware problems or other problems outside the Elyvolt platform. Elyvolt is niet verantwoordelijk voor defecten, stroomuitval, verbindingsproblemen, firmwareproblemen of andere problemen buiten het Elyvolt-platform.
6. QR Code6. QR-code
Where Elyvolt provides a QR code, sticker or other means of identification, the customer is obliged to affix it correctly, visibly and legibly on or near the charge point. Wanneer Elyvolt een QR-code, sticker of ander identificatiemiddel bezorgt, is de klant verplicht deze correct, zichtbaar en leesbaar op of bij de laadpaal aan te brengen.
The customer ensures that it remains present, visible and usable throughout the cooperation, and requests a replacement where necessary. De klant zorgt ervoor dat deze gedurende de samenwerking aanwezig, zichtbaar en bruikbaar blijft en vraagt indien nodig een vervanging aan.
Elyvolt is not liable for the inability to start or pay for a charging session, lost revenue, complaints, fines or other consequences where the QR code is missing, incorrectly affixed, damaged or insufficiently visible. Elyvolt is niet aansprakelijk voor het niet kunnen starten of betalen van een laadsessie, gemiste omzet, klachten, boetes of andere gevolgen wanneer de QR-code niet, foutief, beschadigd of onvoldoende zichtbaar is aangebracht.
7. Public Charging and AFIR7. Publiek laden en AFIR
When making charge point(s) publicly available, Elyvolt and the customer undertake to comply with the applicable regulations, including Regulation (EU) 2023/1804 on the deployment of alternative fuels infrastructure (AFIR). Bij het publiek beschikbaar maken van laadpaal(en) verbinden Elyvolt en de klant zich ertoe de toepasselijke regelgeving na te leven, waaronder Verordening (EU) 2023/1804 betreffende infrastructuur voor alternatieve brandstoffen (AFIR).
The customer follows Elyvolt's reasonable instructions in relation to, among other things, QR codes, ad hoc payments, price information and the public accessibility of the charge point. De klant volgt de redelijke instructies van Elyvolt met betrekking tot onder meer QR-codes, ad-hocbetalingen, prijsinformatie en de publieke toegankelijkheid van de laadpaal.
Where Elyvolt has made the necessary instructions or means available, Elyvolt is not liable for consequences arising from the customer failing to apply them or applying them incorrectly. Wanneer Elyvolt de nodige instructies of middelen ter beschikking heeft gesteld, is Elyvolt niet aansprakelijk voor gevolgen die ontstaan doordat de klant deze niet of niet correct toepast.
8. Publication of the Charge Point8. Publicatie van de laadpaal
The customer grants Elyvolt permission to make the connected charge point(s) publicly available and visible via the Elyvolt platform, charging apps, maps, roaming networks and other relevant channels. De klant geeft Elyvolt toestemming om de aangesloten laadpaal(en) publiek beschikbaar en zichtbaar te maken via het Elyvolt-platform, laadapps, kaarten, roamingnetwerken en andere relevante kanalen.
For this purpose, the location, availability, opening hours, charging tariffs and technical data of the charge point may, among other things, be published and shared with partners necessary for the provision of the services. Hiervoor mogen onder meer de locatie, beschikbaarheid, openingsuren, laadtarieven en technische gegevens van de laadpaal worden gepubliceerd en gedeeld met partners die noodzakelijk zijn voor de dienstverlening.
9. Term and Termination9. Duur en opzegging
The agreement is concluded for 36 months from the activation of the charge point(s) on the Elyvolt platform. De overeenkomst wordt afgesloten voor 36 maanden vanaf de activering van de laadpaal(en) op het Elyvolt-platform.
Upon expiry, the agreement is automatically renewed for successive periods of 36 months. Na afloop wordt de overeenkomst automatisch verlengd met opeenvolgende periodes van 36 maanden.
Either party may terminate the agreement in writing or by email no later than three months before the end of the current period. Beide partijen kunnen de overeenkomst uiterlijk drie maanden vóór het einde van de lopende periode schriftelijk of per e-mail opzeggen.
Decommissioning or ceasing to use the charge point does not constitute termination. Het stopzetten of niet langer gebruiken van de laadpaal geldt niet als opzegging.
Elyvolt may suspend or terminate the services in the event of fraud, misuse, safety issues, illegal use or a serious breach of contract. Elyvolt kan de dienstverlening opschorten of beëindigen bij fraude, misbruik, veiligheidsproblemen, illegaal gebruik of een ernstige contractuele tekortkoming.
10. Liability10. Aansprakelijkheid
Elyvolt provides its services on a best-efforts basis and does not guarantee permanent or uninterrupted availability of its platform or of third-party services. Elyvolt levert haar diensten als een inspanningsverbintenis en garandeert geen permanente of ononderbroken beschikbaarheid van haar platform of diensten van derden.
To the extent permitted by law, Elyvolt is not liable for indirect damage, loss of turnover or loss of profit, nor for damage caused by the charge point, electricity or network problems, firmware, Monta, roaming partners, payment providers, banks, incorrect data provided by the customer, or force majeure. Elyvolt is, voor zover wettelijk toegestaan, niet aansprakelijk voor indirecte schade, omzetverlies of winstderving, noch voor schade veroorzaakt door de laadpaal, elektriciteits- of netwerkproblemen, firmware, Monta, roamingpartners, betalingsproviders, banken, foutieve gegevens van de klant of overmacht.
In any event, Elyvolt's liability is limited to direct and proven damage, to the extent permitted by law. De aansprakelijkheid van Elyvolt is in ieder geval beperkt tot de directe en bewezen schade, voor zover wettelijk toegestaan.
11. Amendments11. Wijzigingen
Elyvolt may amend these Terms & Conditions where this is necessary due to changes to its services, partners, rates, technology or applicable legislation. Elyvolt kan deze Algemene Voorwaarden wijzigen wanneer dit noodzakelijk is wegens wijzigingen aan haar dienstverlening, partners, tarieven, technologie of toepasselijke wetgeving.
Material changes will be communicated electronically. Each new version is given a version number and a date of entry into force. Belangrijke wijzigingen worden elektronisch meegedeeld. Iedere nieuwe versie krijgt een versienummer en datum van inwerkingtreding.
12. Privacy12. Privacy
Elyvolt processes personal data in accordance with its privacy statement and the applicable privacy legislation. Elyvolt verwerkt persoonsgegevens overeenkomstig haar privacyverklaring en de toepasselijke privacywetgeving.
For the performance of certain services, data may be processed by technical partners, including Monta. Voor de uitvoering van bepaalde diensten kunnen gegevens worden verwerkt door technische partners, waaronder Monta.
13. Final Provisions13. Slotbepalingen
If a provision is wholly or partly invalid or unenforceable, the remaining provisions continue to apply. Indien een bepaling geheel of gedeeltelijk ongeldig of onafdwingbaar is, blijven de overige bepalingen van toepassing.
The agreement is governed exclusively by Belgian law. Op de overeenkomst is uitsluitend Belgisch recht van toepassing.
Disputes fall, to the extent permitted by law, within the jurisdiction of the courts of the judicial district in which the registered office of Elyvolt NV is located. Geschillen behoren, voor zover wettelijk toegestaan, tot de bevoegdheid van de rechtbanken van het gerechtelijk arrondissement waarin de maatschappelijke zetel van Elyvolt NV gevestigd is.
